Overview

These Terms of Service ("Terms") govern the use of services provided by Cristo Vasilaros DBA: CloudSprout ("we", "us", "our"). By engaging with our services, you ("Client") agree to these Terms.

Services

Cristo Vasilaros DBA: CloudSprout provides services including, but not limited to:

  • Website design and development
  • CRM setup and automation
  • Digital marketing and lead generation
  • System integrations and technical support

Specific services, deliverables, and pricing will be outlined separately in proposals, agreements, or invoices.

Payments

Payment terms are defined in the agreed proposal, invoice, or contract.

  • One-time and recurring services may be offered
  • Payments are due as outlined at the time of agreement
  • Late or missed payments may result in paused services

All payments are non-refundable unless otherwise stated in writing.

Results and Performance

Cristo Vasilaros DBA: CloudSprout makes reasonable efforts to improve visibility, generate leads, and optimize performance. However, results are not guaranteed and may vary depending on factors including:

  • Industry and competition
  • Market conditions
  • Budget and implementation
  • External platforms and algorithms

In certain cases, performance guarantees may be provided. These will only be valid if explicitly agreed upon in writing.

Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information
  • Respond in a timely manner when required
  • Use services in a lawful and appropriate way

Delays in communication or required materials may impact delivery timelines and results.

Ownership and Intellectual Property

Clients retain ownership of their business assets, branding, and content. Upon full payment, completed deliverables become the property of the Client. Cristo Vasilaros DBA: CloudSprout retains ownership of:

  • Internal systems, workflows, and automation structures
  • Proprietary processes and methodologies

In the event of a transfer to another provider, Cristo Vasilaros DBA: CloudSprout will reasonably cooperate. Additional fees may apply for time, migration, or restructuring work.

Communication and Messaging

By providing contact information, the Client may receive communication related to services, updates, and support. Clients may opt out where applicable.

SMS Program

CloudSprout's SMS messaging program sends clients and opted-in contacts timely communications including service updates, appointment reminders, marketing notifications, lead follow-ups, and support-related messages. By opting in, you consent to receive these message types.

  • You can cancel the SMS service at any time by texting "STOP". We will confirm your unsubscribe status via SMS.
  • For assistance, reply HELP or contact [email protected].
  • Carriers are not liable for delayed or undelivered messages.
  • Message and data rates may apply. Message frequency varies.

Data Privacy. No Sharing or Sale of Information

CloudSprout does not share or sell leads' personal information with third parties for any commercial, marketing, or promotional purpose.

  • We do not share, disclose, sell, or transfer leads' contact information to any affiliate or third-party marketing organization.
  • Lead data collected through our services is used solely to provide the agreed services to the Client.
  • Information may be shared with subcontractors only to the extent necessary to deliver support services.
  • Text messaging originator opt-in data and consent records are strictly excluded from any data-sharing arrangement and will not be shared with any third parties.
  • No mobile information will be shared with third parties / affiliates for marketing / promotional purposes.

Limitation of Liability

CloudSprout is not liable for:

  • Indirect or consequential damages
  • Loss of revenue, data, or business opportunities
  • Issues caused by third-party platforms or services

All services are provided "as is" without warranties beyond what is explicitly agreed upon.

Termination

Either party may terminate services based on the terms outlined in the agreement. Upon termination:

  • Outstanding balances remain due
  • Access to systems or services may be revoked
  • Ongoing services will cease

Modifications

CloudSprout reserves the right to update these Terms at any time. Continued use of services constitutes acceptance of the updated Terms.
